Paramount Settles States’ Lawsuit Clearing Major Hurdle for Warner Bros Merger

Paramount Skydance has reached a settlement with California and other US states that sued to block its proposed $110 billion acquisition of Warner Bros Discovery, removing a major legal obstacle to one of the biggest media mergers in recent years. Reuters, citing a Bloomberg News report, said the settlement resolves the state-level legal challenge that had threatened to delay or prevent the transaction. The agreement comes after weeks of negotiations between Paramount Chief Executive David Ellison and a coalition of 12 state attorneys general led by California Attorney General Rob Bonta.

The settlement follows an increasingly costly legal battle for Paramount, which has been racing to complete the Warner Bros acquisition while facing a ticking payment obligation to Warner Bros shareholders. Reuters previously reported that the companies were discussing possible commitments including independent monitoring of CNN and guarantees around theatrical film releases. The Wall Street Journal also reported that Paramount had discussed a potential $1.5 billion investment in California production, maintaining its studio presence in the state and other concessions as part of negotiations, although the final settlement terms had not been publicly disclosed at the time of reporting.

The proposed combination would bring major entertainment assets including Warner Bros studios, HBO, CNN and other television networks under Paramount’s ownership, significantly expanding its scale in global film, television and streaming. The deal has already secured regulatory approval in numerous jurisdictions, leaving the US litigation as one of its most significant remaining barriers. The settlement therefore moves Paramount closer to completing the Warner Bros merger and creating a larger competitor to companies such as Netflix and Disney, while the final implementation remains subject to the applicable legal and transaction processes.
