Portugal Moves to Reclaim Stake in REN as Ortega Reduces Exposure to Strategic Grid Asset

Portugal has agreed to acquire a stake in REN, the country’s electricity and gas transmission operator, from Spanish billionaire Amancio Ortega, according to Bloomberg and Financial Times. The transaction gives the Portuguese state a greater interest in strategically important energy infrastructure as governments across Europe place increasing emphasis on grid resilience, energy security and control of critical networks. REN operates Portugal’s national electricity transmission and natural gas transportation systems under long term concessions.

Ortega, the founder of Zara owner Inditex, became REN’s second largest shareholder in 2021 after acquiring a 12% stake through his investment vehicle Pontegadea. REN’s corporate disclosures identify Pontegadea as controlled by Ortega and show China’s State Grid as the company’s largest shareholder with a 25% holding. Ortega’s investment has formed part of his broader strategy of moving beyond retail and property into infrastructure assets with regulated and relatively predictable cash flows.

The transaction is strategically significant because REN sits at the centre of Portugal’s energy infrastructure, connecting electricity generation and consumers while managing the country’s high pressure natural gas transmission network. Greater state participation could give Lisbon additional influence over an asset critical to the country’s energy security and the expansion of renewable power, while Ortega’s exit or reduction would mark a change in the ownership structure of one of Portugal’s most important infrastructure companies.

For investors, the deal highlights the growing value of regulated energy infrastructure as European countries invest in stronger grids and greater energy resilience. The transaction will also be closely watched for its implications for REN’s shareholder structure, future investment requirements and the balance between private capital and strategic state ownership in Portugal’s energy sector.
