India’s Solar Industries Bets $1.36 Billion on Africa’s Mining Growth With Omnia Acquisition

India’s Solar Industries India has agreed to acquire South African chemicals and mining solutions group Omnia Holdings for approximately $1.36 billion in an all cash transaction, in what would become one of the Indian explosives maker’s biggest international expansions. According to Reuters, Solar Industries will acquire all outstanding Omnia shares through its subsidiary Solar SA Investments at 134.50 South African rand per share. The transaction remains subject to regulatory, competition and shareholder approvals, with completion expected in early to mid 2027.

The acquisition will give Solar Industries greater exposure to Omnia’s mining and commercial explosives operations across Africa, strengthening its position in blasting solutions used in mining and other resource industries. Omnia operates in 23 countries and reported revenue of about $1.41 billion for its 2026 financial year, according to reporting by the Financial Express. Following completion, Omnia is expected to be delisted from the Johannesburg Stock Exchange and A2X Markets. The transaction represents a major expansion for Solar Industries, which has already established manufacturing and operational activities in African markets.

The deal comes as African economies seek to increase investment and production in critical minerals, creating potential long term demand for mining equipment, explosives and specialised blasting services. Reuters reported that countries including Zambia are targeting significant increases in copper production as demand for critical minerals grows, while Solar expects its expanded African mining footprint to substantially increase revenue from the region from fiscal 2028. For Solar Industries, acquiring Omnia offers an established platform across African mining markets rather than building operations organically, while providing Omnia with access to the resources and international expansion capabilities of an Indian industrial group.

The strategic significance of the transaction extends beyond the acquisition price, as it reflects the growing flow of Asian capital into Africa’s resource economy and the increasing competition to secure positions across the continent’s mining value chain. Solar Industries will need to navigate regulatory approvals, integration risks and the operational complexities of managing a larger multinational footprint, while African markets will be watching whether the new ownership translates into greater investment, technology transfer and mining capacity. If completed as planned, the acquisition could position Solar Industries as a more significant global player in mining explosives and give India a stronger corporate presence in Africa’s expanding critical minerals economy.
