DCC Energy Agrees to £5.7 Billion Takeover by KKR and Energy Capital Partners

Irish energy distribution company DCC Energy has agreed to a £5.7 billion takeover by a consortium comprising private equity firm KKR and Energy Capital Partners, marking one of the largest energy sector buyouts in Europe this year. According to Reuters, DCC’s board unanimously recommended the revised cash offer of £65.25 per share, following months of negotiations and an improved proposal after rejecting an earlier bid. The transaction values the company at approximately £5.7 billion, with shareholders also set to receive a final dividend and a potential additional cash payment linked to the sale of DCC’s technology division, Nexora.

The agreement comes despite opposition from some of DCC’s largest shareholders, including Aviva Investors and Fidelity International, who argued that the offer undervalued the company’s long term growth prospects. DCC said the board believes the proposal “represents a compelling and certain opportunity for DCC shareholders to realise value in cash today,” citing an uncertain macroeconomic environment and the execution risks associated with achieving its long term strategic ambitions.

The acquisition underscores continued private equity interest in energy infrastructure and businesses positioned to benefit from the global energy transition. For investors, the deal highlights the attractiveness of companies with diversified energy portfolios spanning liquefied petroleum gas, renewable fuels and energy services. It also reflects sustained consolidation across the sector as investment firms seek stable cash generating assets amid evolving energy demand and decarbonisation efforts.

Looking ahead, the transaction remains subject to shareholder and regulatory approvals before completion. If finalised, the acquisition will take DCC private, providing KKR and Energy Capital Partners with a platform to accelerate investment in energy distribution and low carbon solutions while reshaping one of Europe’s leading energy services companies.
